POLISH TELEPHONES AND MICROWAVE CORPORATION ANNOUNCES THIRD QUARTER
RESULTS - ENDING SEPTEMBER 30, 1994

DALLAS, November 11, 1994

   Polish Telephones and Microwave Corporation announced today its third quarter
results, for the period ending Sept. 30, 1994. A highlight of the third quarter
is the decision of the very prestigious Warsaw University of Technology to use
our products for their second phase of expansion. To initiate this expansion,
they have already placed an order for over $110,000 of equipment to be delivered
in the fourth quarter of 1994. The University of Warsaw currently has eight of
our switches in use. The university has recently received an operators
license to establish a private network. Our switches will be utilized in the
implementation of this private network.

   Net Income (Loss). The company improved its net income (loss) from a loss of
($288,760), in the third quarter of 1993 to a loss of ($201,489), in the third
quarter of 1994. This is an improvement of $87,271. The nine month comparison
yields an improvement from ($471,645), for the nine months ended Sept. 30, 1993
to ($383,334), for the similar period ended Sept. 30, 1994.

   Revenues decreased by $106,086 from $158,856 in the third quarter of 1993 to
$52,770 in the third quarter of fiscal 1994. Revenues decreased $777,093, from
$1,387,089 for the nine months ended Sept. 30, 1993 to $609,996 for the nine
months ended Sept. 30, 1994.

   The third quarter continues to be a very weak quarter for revenue. Because of
the extended vacation customs utilized in Poland, there is a substantial
decrease in business activity during the months of July and August. The
negative quarter to quarter comparison was effected by the one time positive
impact in the third quarter of 1993 of a Value Added Tax that went into effect
in Poland on July 4, 1993. This resulted in approximately $100,000 of
deliveries taking place in the first few days of July of 1993 to avoid this tax.
                                                                                
   The company is currently developing, manufacturing, marketing, distributing,
installing and servicing telecommunications equipment, primarily digital private
automated branch exchange of "PBX" switches and related enhancements and
peripheral equipment, in Poland. A PBX switch acts as an electronic "traffic
cop," directing telephone traffic between incoming telephone lines carrying
multiple calls to and from individual lines connected to telephones and other
devices at a given installation. In addition, the company has developed, and
currently intends, subject to receipt of necessary Polish government
certification to begin manufacturing, marketing, distribution, installing and
servicing "Small Rural Central Office" switching equipment, in Poland. Small
Rural Central Office switching equipment generally is used to provide telephone
services to networks of up to 1,000 users that are owned by the local telephone
operating companies. The company is also licensed to manufacture, market,
distribute, install and service microwave transmission products designed by
Microwave Networks, Inc., a major United States developer and manufacturer of
microwave transmission equipment, exclusively in Poland, and intends to expand
into this business.
